TERMS AND CONDITIONS OF SALE

Please read these general terms and conditions (the "Conditions) of sale carefully as they together with your order confirmation constitute the contract (the "Contract") between Edutek Limited ("us"/"we"/"our") and you ("you"/"your"/"yourself") for the sale of the goods you purchase.

No Contract exists between us and yourself for the sale of any goods until we have received and accepted your order and sent you confirmation in writing or by email to the address or email address you have given.

By placing an order you confirm that you have read, understood and agree to these Conditions in their entirety. Please check that the details on your order are complete and accurate before you commit yourself to this Contract. Please ensure that you have read and understood these Conditions before you submit your order, because you will be bound by these Conditions once a contract comes into existence between us. If you do not agree with these Conditions, you must not place an order for any Goods. "Goods" means the goods which we supply to you in accordance with these Conditions. "Online order" means a Contract completed via PayPal for the collection of payment from you on our behalf.

1 ORDERING

1.1 You may place an order by:

1.1.1 Emailing us your order at sales@edutek.ltd.uk. We will endeavour (but not restricted,) to process and confirm your order subject to these conditions, within 2 working days.

1.1.2 Order via PayPal through our webiste. We will endeavour (but not be restricted,) to process your order within 2 working days of us receiving confirmation from PayPal. We will not be responsible or liable for any delays in forwarding us details of your order from third parties, such as PayPal.

1.2 By placing your order with us, you make us an offer to purchase Goods that you have selected. We may or may not accept your offer at our sole discretion.

1.3 Once we confirm your order by email, the Conditions will become binding upon yourself and us.

1.4 Whilst we make every effort to supply you with the Goods listed on the order confirmation, there may be occasions where we are unable to supply these Goods because, for example (i) we are unable to source relevant components; or (ii) if there was a pricing error on the Site. In such circumstances we will contact you to inform you of any issues preventing us from confirming your order request and may suggest alternative Goods that you might wish to purchase. If you do not wish to accept our suggestions then we will cancel your order in relation to those Goods we cannot supply and repay you any money that you may have paid to us in respect of those Goods as soon as reasonably possible. Repayment of such monies will be the extent of our liability.

1.5 Where components within our kits are no longer available or unobtainable, we will replace them with the closest match possible in order that the circuit will function as described.

2 PRICING

2.1 The price of the Goods will be as set out in the order confirmation we provide to you. While we make every endeavour to maintain our prices at their present low level we reserve the right to change our prices without prior notice. Prices are in £ sterling and payments should be made in £ sterling where possible.

2.2 All prices are exclusive of VAT unless otherwise indicated on the website. VAT is payable by you at the applicable rate. If you make a purchase from outside of the UK you will not be eligible for the payment of VAT but may be subject to an analogous sales tax under the laws of the country from which you make your purchase

2.3 Postage and packing costs are not included in the prices quoted for the Goods but are quoted for separately prior to us confirming your order request.

2.4 If there is a pricing error on our Site or in our catalogue, we are under no obligation to provide the Goods to you at the incorrect price (even if we have sent you an order confirmation). However we will endeavour to contact you to inform you of the pricing error so that you can confirm whether you wish to proceed with ordering the Goods. If you do not wish to proceed, you have the right to cancel the Goods affected by the pricing error. We will cancel those lines from your order and return any prepaid monies to you as soon as reasonably practicable.

3 PAYMENT OF ORDERS

3.1 All Offline Orders must be paid not later than thirty days from the date of invoice. All Online Orders shall be paid immediately via PayPal payment system.

3.2 In the event of default we reserve the right to charge interest at the higher of four percent above current Barclays Bank Base Rate or the statutory rate conferred by The Late Payment of Commercial Debts (Interest) Act 1998 at monthly intervals on the overdue portion of the account and to suspend or cancel the contract in respect of any undelivered Goods.

4 RISK AND OWNERSHIP OF THE GOODS

4.1 Ownership of the Goods delivered or to be delivered by us will only be transferred to you when we have received cleared funds in payment of all sums owing to us in respect of the Goods.

5 DESPATCH OF GOODS AND DELIVERY

5.1 We shall despatch your Goods by First Class post or carrier to UK based customers. Goods are normally despatched within 48 hours of receipt of order. UK Mainland postage and packing, for orders placed under £100.00 (excl. VAT) through all sales channels (website, PayPal) is charged at £4.25 (plus VAT). All orders £100.00 and over (excl. VAT) is charged at £6.50 (plus VAT). Please note that our carriers deliver anytime between 7 am - 8 pm.

5.2 Whilst we undertake that every effort will be made to ensure that Goods are delivered promptly, no liability will be accepted for delay in despatch or delivery of Goods.

5.3 Except Goods requiring delivery overseas, Goods will be delivered to the address given when you place your order. Customers requiring overseas delivery should contact our Sales Department at sales@edutek.ltd.uk.

5.4 If delivery cannot be made to your address, we will inform you as soon as possible. A refund or credit may be available for any sum that has been paid by you or debited from your credit card for delivery provided the failure to deliver was out of your control.

5.6 Every effort will be made to deliver the goods as soon as possible after your order has been accepted, (and if you are a Consumer in any event within 30 days of your order). However, we will not be liable for any loss or damage suffered by you through any reasonable or unavoidable delay in delivery. In this case, we will inform you as soon as possible.

6 EXPORT

6.1 Freight and insurance is charged extra at cost. Please contact our Sales Department for a quotation. Sterling payments may be made by Banker´s Draft or Telegraphic Transfer direct to our bank, National Westminster Bank, Bournemouth, UK. 6.2 You are responsible at your own expense for obtaining any import or export licence or any other documentation deemed necessary by any competent authority.

7 RETURNS AND CANCELLATIONS

7.1 Rights of cancellation if the Purchaser is a Consumer purchasing Goods Online

7.1.1 You may cancel the Contract at any time up to the end of 14 days after you receive the goods. You then have a further 14 days to send the goods back to us, by first class post, with proof of posting. 5.1.2 To exercise your right of cancellation, you must give written notice to us by hand or post, fax or email to our Contact Details address giving details of the goods ordered and (where appropriate) their delivery.

7.1.3 If you exercise your right of cancellation after the Goods have been delivered to you, you will be responsible for returning the Goods to us at your own cost. The Goods must be returned to the Sales Department at an address supplied by us. You must take reasonable care to ensure the goods are not damaged in the meantime or in transit.

7.1.4 Once you have notified us that you are cancelling the Contract, we will refund or recredit you for any sum that has been paid by you or debited from your credit card for the Goods, within 14 days of receiving the goods back, or within 14 days of you providing evidence of having returned the goods.

7.1.5 If you do not return the Goods as required, the Company may charge you a sum not exceeding the direct costs of recovering the goods

7.2 If there are shortages or damages to the Goods you receive which have occurred whilst in transit, or there is any other error with your order (such as you have received the wrong product), you must notify us within 30 days of receipt of your delivery (the "Inspection Period"), giving us full details of any such shortages, damages or errors with the Goods or your order. You must promptly return any damaged Goods or Goods received in error to us together with all packaging. We will reimburse you for the postage costs incurred in returning such Goods. Where we accept that there has been damage in transit, a shortage or an error in the Goods despatched, we shall make up any shortfall, error or damage to your order free of charge as soon as reasonably possible. After the Inspection Period has expired, you will be deemed to have accepted the Goods and any attempt to return the Goods after this time pursuant to this Clause 7.2 will be rejected by us.

7.3 If during the Inspection Period, you inform us that you have made an error with an order after it has been placed, we will endeavour to make the required amendments before it is despatched, although we are under no obligation to do so. However, if this is not possible, and Goods need to be returned by the customer or additional quantities sent by us, the customer will be responsible for the full postage costs of any such collection or delivery.

7.4 In all cases where the Goods are returned, they must be securely packed within an outer carton, quote the delivery note number and best endeavours must be made to return Goods in their original packaging.

8 LIMITATION OF LIABILITY

8.1. Under no circumstances shall the total aggregate liability of us (howsoever arising) to you under or in relation to this Contract, including (but not limited to) liability for breach of contract, misrepresentation (whether tortious or statutory), tort (including but not limited to negligence), breach of statutory duty or otherwise exceed the price paid by you for the Goods.

8.2. Under no circumstances shall we be liable to you for any of the following types of loss arising under or in relation to these Conditions (whether arising from breach of contract, misrepresentation, whether tortuous or statutory), tort (including but not limited to negligence), breach of statutory duty or otherwise, any loss of profits, business, contracts, anticipated savings, goodwill or revenue, any wasted expenditure, or any loss or corruption of data, property or equipment (regardless of whether any of these types of loss or damage are direct, indirect or consequential) or any indirect or consequential loss or damage whatsoever even if we were aware of the possibility that such loss or damage might be incurred by you.

8.3 Unless otherwise expressly provided in these Conditions, all warranties, conditions or other terms whether express or implied by statute or common law or otherwise are excluded to the fullest extent permitted by law. In particular we make no representation or warranty that the Goods are either of satisfactory or merchantable quality or fit for any purpose or that they conform to any description. You acknowledge and agree that you have relied upon your own skill and judgement in selecting the Goods.

8.4 We will not be responsible for any injury or loss caused by the construction of, and the use of our electronic kits. Instructions on kit assembly and function is available on our website. Any work you undertake with our products, is your responsibility to ensure that you have the correct skills, to assemble and use the products we provide. It is essential you are familiar with all health and safety procedures when handling materials and that you are aware of COSHH guidelines when risk assessing. We accept no responsibility for the provision of these safety guidelines. We also accept no third party loss or injury caused by the handling, construction and use of our products during their lifespan.

9 MISCELLANEOUS

9.1. We reserve the right to discontinue any product, or make design changes to product specifications, or use different suppliers or manufacturers to those stated in the catalogue or on the website, without prior notice, as part of our continuous process of product and service improvement, or to improve product availability. The information contained in the catalogue and on the website is correct to the best of our knowledge at the time of going to press. All images are used for illustration purposes only.

9.2. Nothing in these Conditions affects the statutory rights of a consumer under (including but not limited to) the Consumer Protection (Distance Selling) Regulations 2000 or the Sale of Goods Act 1979 as amended from time to time.

9.3. If any provision of these Conditions are held by any competent authority to be invalid or unenforceable in whole or part the validity of the other provisions of these Conditions and the remainder of the provision in question shall not be affected.

9.4. We shall not be liable to you for any delay or failure to perform any of our obligations hereunder which is due to causes or circumstances beyond our reasonable control, including (without limitation) acts of civil or military authority, national emergencies, fire or flood, acts of God, war or riots, actions or omissions of third parties.

9.5. These Conditions including the Order is the complete and exclusive statement of the contractual relationship between the parties, which supersedes all prior proposals, understandings, agreements, or representations between the parties relating to these Conditions except in respect of any fraudulent misrepresentation made by either party.

9.6. No delay, neglect or forbearance on the part of either party in enforcing its rights or any of them against the other shall be construed as a waiver or in any way prejudice any of its rights hereunder.

9.7. While every effort is made to ensure health and safety information is available, we may be limited to the extent of information we can supply with the Goods depending on what is available from our suppliers. If you require further information on any health and safety information regarding the Goods then please contact us.

9.8. These Conditions shall be governed by and construed in accordance with the laws of England and Wales whose courts shall have exclusive jurisdiction in connection with any dispute (including non-contractual disputes or claims) arising out of or in connection with it.

9.9. Any party who is not a party to these Conditions shall not have any rights under or in connection with them under the Contracts (Rights of Third Parties) Act 1999.
